Terms of Service

1. Introduction

By registering for or using Verbi ("the Service", "the Platform"), operated by Lemon Tree Ventures, LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. Please read them carefully. If you do not agree to these terms, you must stop using the Service immediately.

2. Nature of Service

Verbi is a website translation service that operates as a reverse proxy, translating your website content into multiple languages and serving translated pages to visitors. By using Verbi, you acknowledge that:

  • You are responsible for the content of the websites you connect to Verbi.
  • You are responsible for ensuring you have the right to translate and distribute the content on your website.
  • Verbi is a technical facilitator that translates and serves content on your behalf. We are not responsible for the accuracy or legality of your original website content.
  • Translations are generated by third-party translation engines (e.g., DeepL) and may not be perfectly accurate.

3. Account Registration and Security

To access Verbi, you must register for an account. You agree to:

  • Provide accurate and current information.
  • Maintain the security of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.

4. DNS and Domain Configuration

Your use of Verbi requires configuring DNS records to route traffic through our proxy infrastructure.

  • Authorization: By pointing your DNS to Verbi's proxy, you authorize us to receive, translate, and serve your website content to visitors.
  • Domain ownership: You represent that you own or have authorization to configure DNS for any domain you connect to Verbi.
  • Independence: Verbi is an independent service provider and is not affiliated with your hosting provider, domain registrar, or Cloudflare. We are not responsible for DNS propagation issues or actions taken by third parties against your domain.

5. Acceptable Use

You agree to use Verbi only for lawful purposes. You may not use Verbi to:

  • Translate, distribute, or serve content that is illegal, defamatory, obscene, or infringes on third-party intellectual property rights.
  • Conduct phishing, scams, or distribute malware through translated pages.
  • Circumvent geo-restrictions, censorship, or access controls.
  • Overload or abuse the translation proxy with automated requests beyond normal website traffic.
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, sublicense, or redistribute the Service without our prior written consent.

We reserve the right to suspend your account immediately if we detect abuse or violation of these terms.

6. Translation Processing

When you use Verbi, your website content is processed as follows:

  • Content extraction: Verbi extracts translatable text from your web pages, including headings, body text, navigation, meta descriptions, and other visible content.
  • Third-party translation: Extracted text is sent to third-party translation services (currently DeepL) to generate translations.
  • Caching: Translations are cached at the edge (via Cloudflare) and stored in our infrastructure to serve repeat visitors efficiently.
  • No guarantees: While we use high-quality translation engines, we do not guarantee the accuracy, completeness, or fitness of any translation for any particular purpose. You are responsible for reviewing translations for critical or legally binding content.

7. Subscriptions and Billing

  • Fees: Verbi operates on a subscription basis. You agree to pay the fees associated with your chosen plan.
  • Payments: Payments are processed securely via Stripe.
  • Usage limits: Each plan includes limits on translated characters, languages, and websites. If you exceed your plan limits, translations may be served from cache only until the next billing cycle or until you upgrade.
  • Refunds: Services are billed in advance on a monthly basis and are non-refundable, including if you choose to cancel your account mid-cycle, unless otherwise required by law.
  • Price changes: We reserve the right to modify our pricing with 30 days' notice.

8. Intellectual Property

  • Our IP: The Verbi platform, code, design, proxy infrastructure, and logos are owned by us and protected by intellectual property laws.
  • Your IP: You retain full ownership of your original website content. Verbi claims no ownership over your content or the translations generated from it.
  • Translation data: Translation dictionaries generated by the Service are considered part of the Service infrastructure. You may export your translations at any time while your account is active.

9. Visitor Data and Privacy

Verbi's translation proxy processes visitor requests to serve translated pages. We are committed to minimizing data collection:

  • Verbi does not set cookies on your website visitors.
  • Verbi does not track or profile individual visitors.
  • Aggregated, anonymous page view statistics are collected for your analytics dashboard.
  • You are responsible for your own website's compliance with privacy laws (GDPR, CCPA, etc.), including any cookies or tracking your original site uses.

10. Third-Party Services

Verbi utilizes third-party services including DeepL for translation, Cloudflare for edge infrastructure, Firebase for data storage, and Stripe for payments. Your use of the Service is subject to the availability of these third-party providers. We are not responsible for temporary outages caused by third-party services.

11. Limitation of Liability

To the maximum extent permitted by law, Verbi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, traffic, or goodwill, arising from:

  • Your use or inability to use the Service.
  • Inaccurate, incomplete, or inappropriate translations generated by the Service.
  • Unauthorized access to or use of our servers and/or any data stored therein.
  • Any interruption or cessation of the translation proxy service.
  • Any issues arising from DNS configuration or domain routing.

Our total liability shall not exceed amounts paid by you in the six months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Verbi from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, violation of these Terms, violation of others' rights, or any content served through the translation proxy.

13. Disclaimer of Warranties

Verbi is provided "as is" and "as available" without any warranties, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, secure, or that translations will be accurate or suitable for any particular purpose.

14. Termination

We may terminate or suspend your access to Verbi at any time, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will cease immediately.
  • Your translated pages will stop being served.
  • Translation dictionaries associated with your account will be deleted within 90 days.
  • No refunds will be issued for terminations due to violations.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. Your continued use of Verbi after any changes indicates your acceptance of the new terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, where Lemon Tree Ventures, LLC is incorporated, without regard to its conflict of law provisions. Any disputes related to these Terms will be subject to the exclusive jurisdiction of courts in Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and Lemon Tree Ventures, LLC regarding the Service and supersede all prior agreements.
